Welcome to ExtBit LLC ("ExtBit," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website (extbit.com), open-source software projects, proprietary developer tooling, commercial software plugins, and technical consulting services (collectively, the "Services").

By accessing or using our website or Services, you ("User," "Client," or "you") agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

If you do not agree with these Terms, you must not access or use our website or Services.

1. Scope of Services & Separate Agreements

ExtBit LLC delivers software engineering, low-level systems development, developer tooling, and technical consulting.

  • Website & Free Tools: These Terms apply to all visitors and users of our public website and unauthenticated developer utilities.
  • Open-Source Software: Open-source software released by ExtBit LLC (such as Smart) is made available under its respective open-source license (e.g., the BSD 3-Clause License). Nothing in these Terms limits your rights under, or grants you rights that supersede, the terms of any applicable open-source license.
  • Commercial Services & Custom Plugins: Professional consulting services, bespoke software development, priority support SLAs, and commercial plugin licenses are governed by separate, formal agreements—such as a Master Services Agreement (MSA), Statement of Work (SOW), Commercial License Agreement, or escrow-backed milestone terms via authorized platforms (e.g., Upwork). In the event of a conflict between these Terms and an executed SOW or MSA, the terms of the SOW or MSA shall prevail.

2. Intellectual Property Rights

A. ExtBit Property

All content, design assets, branding, logos, graphics, source code, documentation, and material available on extbit.com (excluding user-submitted data or third-party open-source components) are the exclusive property of ExtBit LLC and are protected by United States and international copyright, trademark, and intellectual property laws.

B. Trademarks

"ExtBit," "ExtBit LLC," the ExtBit logo, and the slogan "Extend the bit, protect your data" are trademarks or registered marks of ExtBit LLC. You may not use our trademarks, brand names, or logos without prior written permission from ExtBit LLC.

C. Client Deliverables & Work for Hire

Work products, custom software, and intellectual property developed under paid commercial contracts (SOW/MSA) will be assigned and transferred to the Client according to the explicit terms established in the relevant commercial contract upon full payment of agreed fees.

3. Acceptable Use Policy

When accessing our website, infrastructure, or Services, you agree not to:

  • Violate any applicable local, state, national, or international law or regulation.
  • Attempt to gain unauthorized access to our servers, infrastructure, non-public APIs, user accounts, or connected networks through hacking, password mining, or any other means.
  • Introduce viruses, malware, worms, logic bombs, or other harmful code to our systems or online infrastructure.
  • Interference with or disrupt the performance, security, or integrity of our website, servers, or rate-limiting protocols.
  • Reverse engineer, decompile, or disassemble any proprietary commercial plugins or closed-source software provided by ExtBit LLC, except to the extent expressly permitted by applicable law.
  • Scrape, crawl, or harvest data or content from our website through automated means without express written authorization.

4. Consulting Engagements & Payment Terms

  • Quotations & Rates: Quotes and hourly rates for technical consulting services are provided in writing or via authorized marketplace platforms. All fees are expressed in US Dollars (USD).
  • Payment Obligations: Clients agree to pay all fees according to the payment schedule, milestone deliverables, or hourly billing terms set forth in the applicable SOW or contract platform.
  • Taxes: Clients are responsible for any applicable federal, state, local, or international taxes (including sales, use, or value-added taxes) associated with their procurement of commercial services, excluding taxes based on ExtBit LLC's net income.

5. Disclaimer of Warranties

EXCEPT AS EXPRESSLY SET FORTH IN A SEPARATE WRITTEN MSA OR SOW EXECUTED BY EXTBIL LLC:

  1. THE WEBSITE, FREE DEVELOPER UTILITIES, INFORMATION, AND UNPAID SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
  2. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, EXTBIL LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND FREEDOM FROM COMPUTER VIRUSES OR MALICIOUS CODE.
  3. EXTBIL LLC DOES NOT WARRANT THAT THE WEBSITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, TIMELY, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  1. IN NO EVENT SHALL EXTBIL LLC, ITS MANAGERS, OFFICERS, EMPLOYEES, AFFILIATES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE WEBSITE, OPEN-SOURCE SOFTWARE, OR SERVICES, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  2. EXTBIL LLC’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE WEBSITE SHALL NOT EXCEED ONE HUNDRED US DOLLARS ($100.00 USD) OR THE TOTAL AMOUNT PAID BY YOU TO EXTBIL LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM FOR THE SPECIFIC SERVICE GIVING RISE TO LIABILITY, WHICHEVER IS GREATER.

7. Indemnification

You agree to defend, indemnify, and hold harmless ExtBit LLC, its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms;
  • Your misuse of our website, infrastructure, or Services;
  • Your violation of any third-party right, including intellectual property, privacy, or proprietary rights; or
  • Any content or data you submit or transmit through our systems.

8. Governing Law & Dispute Resolution

  • Governing Law: These Terms, and any dispute arising out of or relating to them or our Services, shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without giving effect to any principles of conflicts of law.
  • Jurisdiction: You agree that any legal suit, action, or proceeding arising out of or related to these Terms or the Services shall be instituted exclusively in the state or federal courts located in the State of Wyoming, USA, and you irrevocably submit to the personal jurisdiction of such courts.

9. Modifications to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. Any changes will be posted directly on this page with an updated "Last Updated" date. Your continued use of the website or Services after the posting of any modifications constitutes acceptance of the updated Terms.

10. Severability & Entire Agreement

  • Severability: If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
  • Entire Agreement: These Terms, together with our Privacy Policy and any executed commercial SOWs or MSAs, constitute the entire agreement between you and ExtBit LLC regarding your use of the website and Services.
